The Offer will not be registered or approved outside of France and no action will be taken to register or approve it abroad. The documents and information relating to the Offer do not constitute an offer to sell or purchase transferable securities or a solicitation of such an offer in any other country in which such an offer or solicitation is illegal or to any person to whom such an offer or solicitation could not be duly made.

Les porteurs d’actions Aures situés en dehors de France ne peuvent pas participer à l’Offre sauf si le droit local auquel ils sont soumis le leur permet, sans nécessiter de la part d’Advantech l’accomplissement de formalités supplémentaires. La participation à l’Offre et la distribution des documents et informations relatifs à l’Offre peuvent faire l’objet de restrictions particulières en application des lois et règlements qui y sont en vigueur hors de France. L’Offre ne s’adresse pas aux personnes soumises à de telles restrictions, ni directement, ni indirectement, et n’est pas susceptible de faire l’objet d’une quelconque acceptation depuis un pays où l’Offre ferait l’objet de telles restrictions. En conséquence, les personnes en possession des documents et informations relatifs à l’Offre sont tenues de se renseigner sur les restrictions locales éventuellement applicables et de s’y conformer. Le non-respect de ces restrictions est susceptible de constituer une violation des lois et règlements applicables en matière boursière et/ou de valeurs mobilières dans l’un de ces pays. Advantech et Aures déclinent toute responsabilité en cas de violation par toute personne des règles locales et restrictions qui lui sont applicables.

The holders of Aures shares located outside of France can only participate in the Offer if permitted by the local laws to which they are subject, without Advantech having to carry out additional formalities. Participation in the Offer and the distribution of the information and documents relating to the Offer document may be subject to particular restrictions applicable in accordance with laws in effect outside France. The Offer will not be made to persons subject to such restrictions, whether directly or indirectly, and cannot be accepted in any way in a country in which the Offer would be subject to such restrictions. Accordingly, persons in possession of the information and documents relating to the Offer are required to obtain information on any applicable local restrictions and to comply therewith. Failure to comply with these restrictions could constitute a violation of applicable securities and/or stock market laws and regulations in one of these countries. Advantech and Aures will not accept any liability in case of a violation by any person of the local rules and restrictions that are applicable to it.

Concernant notamment les Etats-Unis d’Amérique, il est précisé que l’Offre n’est pas faite, directement ou indirectement, aux Etats-Unis d’Amérique ou par l’utilisation de services postaux, ou de tout autre moyen de communications ou instrument (y compris par fax, téléphone ou courrier électronique) relatif au commerce entre Etats des Etats-Unis d’Amérique ou entre autres Etats, ou au moyen d’une bourse de valeurs ou d’un système de cotation des Etats-Unis d’Amérique ou à des personnes ayant résidence aux Etats-Unis d’Amérique ou « US persons » (au sens du règlement S du Securities Act de 1933, tel que modifié). Aucune acceptation de l’Offre ne peut provenir des Etats-Unis d’Amérique. Toute acceptation de l’Offre dont on pourrait supposer qu’elle résulte d’une violation de ces restrictions serait réputée nulle.

In the specific case of the United States of America, it is stipulated that the Offer will not be made, directly or indirectly, in the United States of America, or by the use of postal services, or by any other means of communication or instrument (including by fax, telephone or email) concerning trade between States of the United States of America or between other States, or by a stock market or a trading system of the United States of America or to persons having residence in the United States of America or « US persons » (as defined in and in accordance with Regulation S of the US Securities Act of 1933, as amended). No acceptance of the Offer may come from the United States of America. Any acceptance of the Offer that could be assumed as resulting from a violation of these restrictions shall be deemed void.

L’objet des documents relatifs à l’Offre est limité à l’Offre et aucun exemplaire ou copie de ces documents ne peut être adressé, communiqué, diffusé ou remis directement ou indirectement aux Etats-Unis d’Amérique, autrement que dans les conditions permises par les lois et règlements en vigueur aux Etats-Unis d’Amérique.

The subject of the documents relating to the Offer is limited to the Offer and no copy of these documents may be sent, communicated, distributed or submitted directly or indirectly in the United States of America other than in the conditions permitted by the laws and regulations in effect in the United States of America.

Tout actionnaire d’Aures qui apportera ses actions à l’Offre sera considéré comme déclarant (i) qu’il n’a pas reçu aux Etats-Unis d’Amérique de copie de la présente de note d’information ou de tout autre document relatif à l’Offre, et qu’il n’a pas envoyé de tels documents aux Etats-Unis d’Amérique, (ii) qu’il n’est pas une personne ayant sa résidence aux Etats-Unis d’Amérique ou une « US person » (au sens du règlement S du Securities Act de 1933, tel que modifié) et qu’il ne délivre pas d’ordre d’apport à l’Offre depuis les Etats-Unis d’Amérique, (iii) qu’il n’était pas sur le territoire des Etats-Unis lorsqu’il a accepté les termes de l’Offre ou a transmis son ordre d’apport, et (iv) qu’il n’est ni agent, ni mandataire agissant sur instruction d’un mandant autre qu’un mandant lui ayant communiqué ces instructions en dehors des Etats-Unis d’Amérique. Pour les besoins de la présente section, on entend par « Etats-Unis d’Amérique », les Etats-Unis d’Amérique, leurs territoires et possessions, l’un de ces Etats ainsi que le district de Columbia.

Any holder of the shares of Aures who will tender its shares into the Offer shall be deemed to represent that (i) it has not received a copy of this offer document or any other document relating to the Offer into the United States of America and it has not sent or otherwise transmitted any such document into the United States of America, (ii) it is not a person having residence in the United States of America and not being a « US person » (as defined in Regulation S of the US Securities Act of 1933, as amended) and that it is not issuing a tender order for the Offer from the United States of America, (iii) it was not located in the United States of America when it has accepted the terms of the Offer or its tender order for the Offer, and (iv) it is acting on a non-discretionary basis for a principal located outside the United States of America that is not giving an order to participate in the Offer from the United States of America. For the purposes of this section, « United States of America » means the United States of America, its territories and possessions, any one of these States, and the District of Columbia.
